General Non-Disclosure Agreement (NDA)

Tekmedia Solutions

This General Non-Disclosure Agreement (“Agreement”) is made between:

[Tekmedia Solutions Pte Ltd]
(“Receiving Party”)

and

[Clients of Tekmedia Solutions Pts Ltd]
(“Disclosing Party”)

  1. Purpose
    The purpose of this Agreement is to protect the confidential and proprietary information shared between the parties concerning customer data, sales figures, and other sensitive information.                                                                                                            

  2. Definition of Confidential Information
    For purposes of this Agreement, “Confidential Information” shall include but is not limited to:
  • Customer names and contact information
  • Sales figures and financial data
  • Marketing strategies and plans
  • Any other proprietary information disclosed by the Disclosing Party, either directly or indirectly.
  1. Obligations of the Receiving Party
    The Receiving Party agrees to:
  • Maintain the confidentiality of the Confidential Information;
  • Not disclose any Confidential Information to any third parties without the prior written consent of the Disclosing Party;
  • Use the Confidential Information solely for the purpose of [specific purpose, e.g., business discussions, project collaboration, etc.];
  • Implement reasonable safeguards to protect the Confidential Information from unauthorized access or disclosure.
  1. Exclusions from Confidential Information
    Confidential Information does not include information that:
  • Is or becomes publicly available through no fault of the Receiving Party;
  • Was known to the Receiving Party prior to the disclosure by the Disclosing Party;
  • Is disclosed to the Receiving Party by a third party without breach of any obligation of confidentiality;
  • Is independently developed by the Receiving Party without reference to the Confidential Information.
  1. Term of Agreement
    This Agreement shall commence on the date a business relationship is formed and shall continue for a period of two years from the date of the last disclosure of Confidential Information.                                                                                                                    
  2. Permitted Disclosures
    The Receiving Party may disclose Confidential Information to employees, agents, or contractors on a need-to-know basis, provided that such person(s) are bound by confidentiality obligations at least as protective as those contained in this Agreement.                                                                                                                                     
  3. Governing Law
    This Agreement shall be governed by and construed in accordance with the laws of the State of Singapore.
